Circle has officially launched #Arc Mainnet, a Layer 1 built from the ground up for real money, real markets, and AI agents.
This is not just another general purpose blockchain.
Arc is designed to become a financial operating system for the internet.
One of the biggest differences is that #USDC is the native gas asset. Fees are paid in dollars instead of a volatile token, making costs much more predictable.
Finality is deterministic and happens in under a second, with no reorgs. That makes Arc well suited for payments, FX, tokenized assets, and machine to machine commerce.

## @qinbafrank (qinbafrank) · 09-17 04:26 · ♥40 ↻7 💬6 《清晰法案》过不了,加密监管还能松到哪一步?清晰法案最终没能通过,加密行业是不是就要停滞不前了,个人角度这个判断过于悲观。周二参议院程序性投票还跟朋友聊到,SEC的Regulation CA法案就是在给清晰法案打补丁,沿着这个框架和思路详细聊聊。
国会立法受阻,会影响行业的长期确定性,但SEC和CFTC手里还有不少工具:明确代币属性、给融资提供豁免、调整交易和托管规则,都可以在现有权限内继续推进。沿着这条路径,两家机构能够逐步搭起一套“行政版市场结构”。只是这套结构有边界,无法完整替代国会授权。
所以真正值得讨论的是:这条行政路径究竟能走多远,哪些业务可以先做起来,哪些问题必须继续等国会。个人的判断是,行政路径能够打开相当可观的业务空间。它最大的短板,集中在完整的联邦现货监管框架,以及这套制度能否长期稳定地运行。
理解了这个区别,就不会把《清晰法案》的进退,简单等同于整个加密行业的开关。
1、SEC这边,融资和代币属性已经有了推进路径 1)先看项目方最关心的问题:能不能在美国融资,发行出去的Token以后怎么处理?
过去一个很大的争议,是项目早期卖Token融资,可能构成投资合同。那么几年以后,网络已经运行,Token在二级市场流通,这些交易是否还要继续被最初的融资安排约束?你提供的分析里,反复强调的就是这个区别:资产本身和当初出售资产的合同,需要分开看。
今年3月,SEC发布、CFTC加入的解释,之前https://t.co/aFptC48DqS这里有聊过:已经明确承认大多数加密资产本身并非证券,也说明了一个本身不属于证券的加密资产,如何受到投资合同约束,以及如何结束这种关系。这份解释同时覆盖了空投、协议挖矿、协议质押和部分包装资产交易。这一步的意义很大。
它给了项目方一个更清晰的分析框架。讨论监管风险时,可以分别研究融资安排、团队承诺,以及后续交易的具体情况,不必把一个Token从诞生到流通的所有阶段都混在一起。
8月提出的Regulation Crypto Assets,则进一步把这个思路落实到融资制度上。按照目前提案,一条是一次性的早期融资豁免,允许四年内最多融资500万美元;另一条允许每12个月最多融资7500万美元。截至2026年9月17日,它仍然是提案,公开征求意见截止日期为10月20日,尚未生效。之前这里https://t.co/j6LF8sHosy有聊过这次美国加密监管的重大转向
7500万美元是什么概念?假设一个项目需要5000万美元完成核心产品开发,这个额度已经能够覆盖一次相当规模的融资。至少从制度设计上看,SEC正在为加密项目提供一条更贴合其特点的美国本土融资路径。这会带来一个新兴网络资本市场https://t.co/c9KmMu1Ud7
当然,豁免注册不等于豁免责任。提案要求发行方披露信息,较大规模融资还需要提供财务报表并持续报告,反欺诈规定仍然适用。它同时设计了附带条件的投资合同安全港,处理项目方完成或永久停止所承诺的必要管理努力之后,相关资产能否结束投资合同约束的问题。这就是加密领域的供给侧改革:https://t.co/IGaH8xnVQy 。
Regulation Crypto Assets = CLARITY迟迟不落地情况下,SEC先把自己权限范围里的路修出来。
这里要分清,安全港解决的是特定法律关系如何结束,不能理解成项目方停止开发就可以自动免责,更不代表监管部门认可Token的价格。
如果最终规则沿着目前的方向落地,我认为美国加密创业的条件会有明显改善。项目可以更早评估融资成本、披露义务和后续发展路径,也有机会减少为了发行Token而专门设计复杂离岸结构的需要。减少项目赴海外发行和运营的激励,本身就是SEC在提案中写明的目标。
因此,单看项目融资这一环,没有《清晰法案》,仍然有很大的推进空间。
2)质押和证券型RWA,也不需要全部等国会 既然SEC之前已经在解释中处理了协议质押,后续就可以围绕具体服务模式继续明确边界。当然协议原生质押、平台提供的质押服务,以及ETF加入质押,涉及的产品结构和义务有所不同。但前一种安排已经得到澄清,后面两种sec也有推动空间。
3)代币化/证券型RWA的逻辑则更直接 股票、债券和基金份额,本来就在证券法体系里。把持有记录放到区块链上,不会自动改变它们的法律属性。SEC相关部门今年1月的工作人员声明,已经说明证券的发行形式、持有记录放在链上还是链下,不影响联邦证券法的适用。
沿着这个基础,监管机构可以继续研究如何让现有证券市场使用链上登记、交易和结算。具体业务仍然要解决注册、托管和投资者保护等问题,但其中相当一部分工作能够在现有证券监管体系内展开。
当然代币化股票/证券型RWA对《清晰法案》的依赖,相对低于数字商品现货交易所体系的原因:前者有现成的法律身份,主要需要解决新技术如何进入已有市场。后者还涉及谁来监管、平台按什么身份注册,以及监管机构究竟拥有什么权力。
两类问题的难度并不相同。
2、CFTC能打开的空间,可能比很多人想象得更大 说到CFTC,最容易出现的误解是:既然它缺少完整的加密现货监管权,那它就只能等国会。其实要看具体业务。
1)商品衍生品原本就在CFTC的监管范围内 今年5月29日,CFTC已经允许一家注册交易所上市真正没有固定到期日的比特币永续合约。这个案例说明,至少在衍生品领域,监管机构可以运用现有权限推进新产品。
所以,即使《清晰法案》继续受阻,加密衍生品仍然有扩展空间。其他合约能否上市,需要按适用规则和具体产品条件判断,但整个业务方向不需要因为国会卡住就停下来。
2、更值得关注的是杠杆现货 现行《商品交易法》已经对某些面向零售客户、带有杠杆、保证金或融资安排的商品交易设置了监管要求。去年9月,SEC和CFTC相关部门的联合工作人员声明,就明确讨论了如何在现有注册交易场所内开展这类加密产品交易。它表达的是对现行法律的工作人员理解,同时要求市场参与者按需要提交申请、提案或豁免请求。
也就是说,监管机构可以从已经拥有管辖权的业务切进去,再围绕交易场所和清算安排逐步完善规则。
这里补充一条官方表态,更能说明这条路准备怎么走。 CFTC主席Selig在8月20日的讲话中表示,已经要求工作人员探索利用现有权限,让现有注册机构以及尚未注册的加密交易所,有机会被指定为一种称为“加密资产市场”的指定合约市场,也就是DCM,并在适配规则下提供杠杆或保证金加密交易。这份讲话描述的是探索方向,不能直接当成新制度已经生效。
但方向已经很具体了。 这意味着,行政路径有机会推进到“部分平台以明确身份,在联邦监管下开展特定交易业务”这一步。它能够做的事情,显然超过了少发几张罚单、少提起几次诉讼。
对交易平台来说,这种变化可能带来实实在在的产品扩张。原来难以开展的业务,有了申请路径;原来需要复杂法律论证的产品,逐渐有了更明确的监管条件。不过,这条路的法律基础仍然来自既有授权。Selig提到的方案,特意围绕杠杆和保证金交易展开,也恰好说明了这一点。
有能力把一部分加密交易纳入已有监管体系,和拥有覆盖整个数字商品现货市场的新授权,之间仍然隔着很大一步。
3、真正绕不开《清晰法案》的,则是完整的现货监管权 举个最简单的例子。 有人在比特币现货市场欺诈或者操纵价格,CFTC拥有相应执法权。但要求所有普通、无杠杆的数字商品现货平台统一注册,持续满足资本要求、客户资产隔离和上市审核标准,涉及另一层权力。最重要的边界就在这里:现有反欺诈、反操纵权,无法直接等同于完整的现货市场日常监管权。
平台究竟是什么金融机构?它的客户资产应该怎样保管,利益冲突如何处理,哪些代币可以上市,谁来持续检查这些要求有没有被执行?
这些问题需要一套完整、可持续执行的制度。行政机构可以在已有授权下设计规则,却不能仅凭自己的意愿,创造国会尚未授予的全面管辖权。这正是《清晰法案》试图补上的关键缺口。
1)还有全国统一性的问题: SEC和CFTC协调得再好,也不代表美国所有监管机关都同步退出。交易平台仍然可能面对州级资金传输牌照、纽约BitLicense,以及不同业务对应的其他监管要求。
Regulation Crypto Assets提案确实准备对符合条件的发行和部分二级交易,排除某些州证券登记与资格要求。但这类有特定范围的安排,不能扩大理解成一张联邦牌照覆盖所有业务、所有州。
2)DeFi开发者面对的情况也类似 SEC可以通过解释、豁免和不采取行动安排,减少自己权限范围内的不确定性;它无法单方面替财政部、FinCEN或CFTC重写各自的法律边界。即使一个开发行为在某套证券法分析下获得了更明确的待遇,也不能顺手推导出全部跨部门问题都已解决。
3)政策的持久性 一份工作人员声明、一项正式规则,以及国会通过的法律,法律效力和未来调整方式都有区别。以那份现货交易联合工作人员声明为例,文件自己就写明:它不具有法律效力,不修改适用法律,也不创造新的义务。
对企业来说,这个区别很现实。 做一个试点产品,和投入多年资源建设完整业务,所需要的确定性不同。我的理解是行政路径能够帮助企业先往前走,但重大、长期的投入,仍然要考虑规则被挑战或未来改变的风险。
所以,即使监管机构已经做了很多,它们仍然希望国会立法。Selig在提出行政替代路径的同一次讲话里,也继续强调《清晰法案》对长期确定性的重要性。
把这些放在一起看,就能得到一个更具体的判断。 没有《清晰法案》,项目融资仍然可能改善,质押和证券型RWA可以继续推进,加密衍生品也有自己的发展路径。部分现货交易业务,还可以借助现有注册场所和监管权限逐步开展。
这已经足以给行业带来新的商业机会。 但也不会因此得出“《清晰法案》无所谓”的结论。少了完整立法,不同业务之间的规则衔接可能更复杂,平台需要承担的合规成本和长期政策风险,也更难一次性解决。
所以,个人对这件事的看法很明确: 《清晰法案》受阻,会拖慢美国加密市场完整制度的建立,但无法据此推导出未来两年没有机会。SEC和CFTC仍然可以把不少业务往前推,而且部分路径已经相当具体。
接下来,国会进展当然要盯,但监管部门每一次落到具体产品、具体牌照和具体业务上的动作,同样值得研究。 当然最终还是要看谁能把开放出来的经营空间,真正带来业务的领先
