A no-action letter means SEC staff won't recommend enforcement if Tesla runs the program as described. That's the regulatory green light.
Why it matters is that Tesla probably has one of the largest retail shareholder bases of any public company, and retail usually has the lowest voting turnout.
Voting often means proxy mailers, broker portals and deadlines most people miss. So the big institutions end up deciding the vote.
Vlad Tenev says Robinhood worked with Tesla on this, putting the vote directly inside the app people already use to hold the shares.
I think this could change how Tesla votes get decided. When voting is one tap away, the retail base finally counts at full weight.
