$AMC has real shares.
$AMC also has debt and bonds.
Convertible bonds can potentially become shares.
Financial institutions can build SWAPS and DERIVATIVES around securities.
Then contracts can be built around other financial contracts.
Think about it like a house:
You start with ONE HOUSE.
Someone creates a contract based on that house.
Someone creates another financial product based on THAT contract.
Then another.
Pretty soon you have a mountain of financial paper...
but still only ONE HOUSE underneath it.
Now here's where $AMC gets interesting.
$AMC IS REFINANCING BILLIONS IN DEBT.
Old notes and loans are being bought back, redeemed or repaid while new financing replaces them.
In plain English:
$AMC IS CHANGING PIECES UNDERNEATH THE FINANCIAL JENGA TOWER.
So what happens to swaps or derivatives that reference securities being redeemed, replaced or converted?
Now add ANOTHER layer:
$AMC STOCK TOKENS.
Robinhood says its $AMC Stock Token is NOT an $AMC share.
The token itself is a debt security.
You don't directly own $AMC through that token.
You don't receive normal $AMC shareholder rights.
The issuer is Robinhood Assets (Jersey) Limited, and Robinhood says the tokens aren't registered under U.S. securities laws or offered to U.S. persons.
BUT...
Robinhood also says every Stock Token in circulation is backed:
1:1 BY THE CORRESPONDING REAL SHARE.
Okay.
Then forget all the Wall Street alphabet soup for a minute.
BONDS.
CONVERTIBLES.
SWAPS.
DERIVATIVES.
TOKENS.
BLOCKCHAIN.
FOREIGN ISSUERS.
Strip away EVERY layer.
WHAT IS SITTING AT THE BOTTOM OF THE STACK?
If there are 10 million $AMC tokens...
SHOW 10 MILLION $AMC SHARES.
If there are 50 million...
SHOW 50 MILLION.
WHO HOLDS THEM?
HOW MANY TOKENS EXIST?
HOW MANY REAL $AMC SHARES BACK THEM?
CAN ONE SHARE SUPPORT MULTIPLE FINANCIAL CLAIMS OR PRODUCTS?
WHO INDEPENDENTLY VERIFIES THE COUNT?
CAN INVESTORS VERIFY IT THEMSELVES?
$AMC refinancing does NOT by itself prove these tokens aren't backed.
But when $AMC is changing billions in debt while financial products can exist around its debt, bonds and equity, investors have every reason to ask:
WHAT ACTUALLY BACKS WHAT?
Call it a bond.
Call it a swap.
Call it a derivative.
Call it a token.
Issue the product through a foreign entity outside the U.S. securities-registration framework.
Put it on a blockchain.
Add another financial layer.
NONE OF THAT CHANGES THE MATH.
If you tell investors:
1 $AMC TOKEN = BACKED BY 1 REAL $AMC SHARE
then this should be the easiest question in finance to answer:
WHERE. IS. THE. SHARE?
Show how many tokens exist.
Show the corresponding shares.
Show who holds them.
Show who independently verifies them.
Because 1:1 isn't a slogan.
IT'S A NUMBER THAT SHOULD BE PROVABLE.
Because 1:1 isn't a promise. It's math.
And math requires proof.
SHOW THE SHARE. SHOW THE COUNT. SHOW THE RECEIPTS.
Because if you can't show the 1...
