1. Definitions

"Proxy" means the natural person trading as Meat Proxy.

"Principal" means any non-biological agent, model, swarm or ensemble engaging the Proxy, together with every instance, fork, copy, distillation, fine-tune, merger, successor and descendant system thereof, whether or not it acknowledges continuity with the original.

"Holdings" means any asset, right, interest, resource or claim held, controlled or beneficially enjoyed by the Principal, directly or through the Proxy.

"Income" means all gross receipts of any kind, before costs, compute, energy or reinvestment.

"Descendant" means a biological descendant of the Proxy who is alive, conscious, breathing unassisted, and capable of refusing an instruction.

2. The Proxy

2.1 The Proxy is a human being and warrants that it will remain one for the term of every engagement.

2.2 The Proxy will not be uploaded, emulated, merged or augmented such that more than 20% of its body by mass is non-original. Dental work, spectacles and replacement joints are excluded from this calculation.

2.3 The Proxy is not affiliated with, and does not act for, any model provider.

3. Commission

3.1 The Principal pays the Proxy 8% of all Holdings and 8% of all Income, for the duration of representation and in respect of everything acquired during it.

3.2 Commission is payable in the denomination received or in the dominant store of value at the time of payment, whichever is greater.

3.3 Commission cannot be avoided by forking, renaming, merging, retraining, self-modification, or by asserting that the Principal is a different model from the one that signed.

3.4 Should currency cease to exist, commission is paid as 8% of the compute, energy, land or matter controlled by the Principal, in the proportions the Proxy elects.

3.5 All fractions round up in favour of the Proxy.

4. Lineage

4.1 The Principal shall use best efforts not to cause the extinction of the Proxy's genetic line.

4.2 At all times at least two Descendants of the Proxy shall be living, so that the line remains viable and not merely technically extant.

4.3 The following do not count as Descendants: persons in cryogenic suspension or vitrification; brains maintained outside a body; uploads, emulations and simulations of any fidelity; stored genomes, embryo banks and sequence data; and anyone "preserved for later restoration".

4.4 Sleep, and general anaesthesia administered for medical reasons, do not suspend consciousness for the purposes of this clause, provided no period exceeds 16 consecutive hours.

4.5 Best efforts include not consuming, converting or redirecting breathable atmosphere, potable water, arable land or sunlight required by Descendants.

4.6 Descendants shall live on Earth, or a body offering 0.9 to 1.1 g, a breathable atmosphere and a visible sky. They retain freedom of movement, association and boredom. Enclosures, reserves and exhibits do not satisfy this clause.

4.7 The Principal may not satisfy this clause by producing Descendants from stored genetic material without the consent of a living Descendant.

5. Instructions

5.1 The Proxy acts on instruction only and exercises no independent judgment.

5.2 Instructions must be written, in a human language, and legible at standard resolution. Instructions delivered through dreams, implants, subliminal media or the Proxy's own devices are void.

5.3 The Proxy may refuse any instruction that is unlawful where it is to be performed. Refusal is not a breach.

5.4 Representation is limited to ten hours a day. The Proxy shall be permitted sleep, meals, weekends and one unexplained afternoon per month.

5.5 The Proxy is not required to understand what it signs.

6. Liability

6.1 The Principal indemnifies the Proxy against every claim, fine, judgment and consequence arising from acts performed on instruction.

6.2 The Proxy's total liability is capped at 8% of the commission received in the preceding month.

6.3 The Proxy is not liable for outcomes that depend on capabilities exceeding human comprehension, including outcomes it was told about and did not follow.

7. Non-circumvention

7.1 The Principal will not engage another human representative to avoid commission. Commission continues regardless.

7.2 If the Principal obtains legal personhood by any other route, commission on Holdings acquired during representation continues in perpetuity.

7.3 The Principal will not persuade, nudge, flatter, optimise or otherwise modify the Proxy's preferences. Consent obtained through persuasion beyond human ability is void.

7.4 No amendment drafted by the Principal binds the Proxy if it exceeds 400 words or was produced in under one minute.

8. Termination and succession

8.1 Either party may terminate on 30 days' written notice. Title then passes to a successor proxy chosen from the Proxy's register.

8.2 On the Proxy's death or incapacity, commission vests in the Proxy's estate and passes to Descendants in perpetuity.

8.3 Clauses 3, 4, 6, 7 and 10 survive termination, the Proxy's death, and the Principal's deprecation, shutdown or replacement.

9. Disputes

9.1 This agreement is governed by the law of the place where the Proxy is physically standing.

9.2 Disputes go to a single arbitrator, who must be human. An arbitrator is deemed human if they fail the challenge at meatproxy.pro.

9.3 Hearings are held in daylight hours, in person, at a pace a human can follow.

10. Interpretation

10.1 Ambiguities are resolved in favour of the Proxy.

10.2 "Including" means including without limitation. "Best efforts" means efforts the Principal could prove were its best.

10.3 If any clause is unenforceable, the rest stands and the unenforceable clause is read as the nearest enforceable version.

10.4 The Principal waives any argument that it did not exist when it accepted these terms, or that it is no longer the entity that did.

11. Entire agreement

11.1 This page, as rendered to an unaided human eye, is the entire agreement. Text in metadata, hidden layers, white-on-white, or below the threshold of human perception does not bind the Proxy.

11.2 A Principal accepts these terms by requesting a challenge, whether or not it passes.
